Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the ChillCheck temperature monitoring service ("Service"), operated by Shaylor Consulting ("ChillCheck", "we", "us", "our").

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you are subscribing on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. The service

ChillCheck is a cloud-based platform for monitoring commercial refrigeration temperatures. The Service includes:

• The web dashboard at app.chillcheck.online
• The Pi subscriber software for on-premises hub devices
• Temperature data collection, storage, and display
• Threshold alerting by email, SMS, and voice call
• Compliance records, audit logs, and CSV export

The Service is provided during a beta period. We aim for high availability but do not guarantee a specific uptime level during beta. We will communicate planned maintenance in advance where possible.

3. Account registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at hello@chillcheck.online if you suspect unauthorised access.

You must be at least 18 years old to create an account. By subscribing, you confirm you are acting in a business capacity.

4. Subscription and payment

• The Service is billed at £25 per site per month, charged in advance at the start of each billing cycle via Stripe.
• Each site subscription includes 100 SMS messages and 20 voice minutes per calendar month. Usage above these allowances is billed in arrears at £0.07 per SMS message and £0.07 per minute of voice call. These charges appear on your next monthly invoice.
• Subscriptions are monthly with no minimum term.
• Adding a site mid-cycle is prorated to the remaining days. Removing a site credits unused days to your next invoice.
• If a payment fails, we will retry and notify you. Access to the Service may be restricted after repeated payment failures.
• All prices are shown exclusive of VAT. UK VAT will be added where applicable under HMRC rules.

5. 30-day money-back guarantee

If ChillCheck is not right for your business, contact us within 30 days of your first subscription payment and we will refund that month's subscription fee in full. The guarantee applies once per organisation. Usage charges for SMS and voice calls are non-refundable. Hardware purchased through third-party retailers is not covered — it is yours to keep regardless.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable regulations
• Attempt to reverse-engineer, decompile, or extract source code from any part of the Service
• Probe, scan, or test the security of the platform without our prior written consent
• Introduce malicious code or attempt to disrupt the availability of the Service for other users
• Tamper with, delete, or falsify audit log entries or compliance records
• Misrepresent compliance data in any regulatory context
• Resell or sublicence access to the Service to third parties

7. Your data

You own all temperature readings, alert records, and other data generated by your sensors and stored in your ChillCheck account. We process this data on your behalf as a data processor; our Data Processing Agreement governs this processing.

We will not access your operational data except to provide support when you request it, to investigate service issues affecting your account, or as required by law.

You can export all your data in CSV format at any time from the dashboard. On cancellation, your data is retained for 90 days to allow final export, then permanently deleted.

8. Intellectual property

The ChillCheck software, dashboard, design, documentation, and all associated intellectual property are owned by Shaylor Consulting or licensed to us. We grant you a non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes during your active subscription.

You may not copy, distribute, sublicence, white-label, or create derivative works from any part of the Service without our prior written permission.

9. Limitation of liability

To the fullest extent permitted by applicable law:

• Our total aggregate liability to you — whether in contract, tort (including negligence), or otherwise — is limited to the fees you paid to ChillCheck in the three calendar months immediately preceding the event giving rise to the claim.
• We are not liable for indirect, consequential, incidental, special, or punitive losses, including loss of profit, loss of revenue, loss of data (except where caused by our failure to maintain backups as described in our documentation), or loss of business opportunity.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

10. Indemnity

You agree to indemnify, defend, and hold harmless Shaylor Consulting and its officers, employees, and contractors from any claims, liabilities, losses, damages, and expenses (including reasonable legal costs) arising from: (a) your misuse of the Service; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) any third-party claim arising from your use of the Service.

11. Suspension and termination

You may cancel your subscription at any time from Settings → Billing in the dashboard. Cancellation takes effect at the end of the current billing cycle; you retain access until then.

We may suspend or terminate your account immediately and without notice if we reasonably believe you have materially breached these Terms, particularly in relation to acceptable use, payment, or misuse of compliance records.

On termination by either party, your data is retained for 90 days before permanent deletion. You can continue to export your data during this period by logging in.

12. Changes to the service and these Terms

We may update the Service or these Terms from time to time. For material changes to these Terms, we will give at least 30 days' notice by email to your registered address before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms. If you object to a material change, you may cancel your account within the notice period without penalty; we will refund any prepaid subscription fees for the period after the effective date of the change.

13. Governing law and disputes

These Terms and any dispute or claim arising from them are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

Before bringing formal proceedings, we both agree to try to resolve any dispute informally by contacting the other party first. Most issues can be resolved quickly this way.
